2. Definitions
The following terms have specific meanings in this agreement:
- Platform: The FidusMedia web application and all associated services
- Business: An individual or entity that subscribes to use the Platform for managing bookings
- End User: A customer who makes bookings through a Business's booking page
- Subscription: A paid plan providing access to Platform features beyond the Free tier
- Content: Any data, text, images, or materials uploaded to or generated by the Platform
- Services: The booking management, customer management, and communication tools provided through the Platform
2. Account Registration
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep it updated. One person or legal entity may maintain multiple business profiles under a single user account.
3. Service Description
FidusMedia provides a multi-tenant booking management platform for businesses including restaurants, salons, spas, fitness studios, and other appointment-based services. Features include online booking, customer management, automated communications, analytics, and payment processing.
4. Subscription & Billing
Access to certain features of the Platform requires a paid subscription. By subscribing, you agree to pay all applicable fees as described on our Pricing page.
Trial Period
Base, Plus and Premium include a 30-day trial. The activation flow shows the selected plan, payment details and first charge date before confirmation.
Paid Plans
Base, Plus and Premium are billed monthly. Enterprise scope and billing are set by a separate quote or agreement. Fees are non-refundable except as set forth in our Refund Policy. We may change pricing with at least 30 days written notice to current subscribers.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the end of your billing cycle.
8. Acceptable Use
Your use of the platform is subject to our Acceptable Use Policy. You may not use the platform for any illegal purpose or in violation of any applicable laws or regulations.

7. Data Ownership
You retain full ownership of all data you upload to or create on the platform. We do not claim any intellectual property rights over your content. You grant us a limited license to process, store, and display your data solely to provide the service.
9. Intellectual Property
The FidusMedia platform, including its design, code, features, and documentation, is our intellectual property and is protected by copyright and other laws. You may not copy, modify, or reverse-engineer any part of the platform.
8. Warranties & Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIDUSMEDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Termination
Either party may terminate this agreement at any time. Upon termination, you will have 30 days to export your data. After 30 days, your data will be permanently deleted in accordance with our data retention policy.
10. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before they take effect. Continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Platform and cancel your account.
14. Governing Law
These terms are governed by the laws of Italy. Any disputes shall be subject to the exclusive jurisdiction of the courts of Rome, Italy, except where mandatory consumer protection laws of your country of residence apply.
